These Terms of Service ("Agreement") constitute a legally binding agreement between Miraie ("Provider," "we," "us," or "our") and you, the individual or entity accessing or using our products, services, or related offerings ("Client," "you," or "your"). This Agreement governs your use of the services, software, tools, or resources provided by Miraie and miraie.io or miraie.host website (collectively, the "Services" or "Products").
By accessing, purchasing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, you are not authorized to use or access the Services.
Your use of the Services constitutes acceptance of this Agreement. Continued use after amendments to this Agreement constitutes acceptance of the updated terms.
2.1. We provide the Services on a "best effort" basis. While we strive to maintain uptime and performance, we do not guarantee uninterrupted, error-free, or fully secure Services.
2.2. We reserve the right to modify, suspend, or discontinue Services at any time without prior notice.
You agree not to:
3.1. Use the Services for illegal activities, unauthorized access, or abusive behavior (e.g., hacking, spamming, phishing).
3.2. Resell, redistribute, or sublicense the Services to third parties without prior written agreement with us.
3.3. Violate laws, infringe intellectual property, or transmit harmful/prohibited content.
Violations may result in immediate termination of Services.
4.1. All fees for Services are stated upfront with no hidden costs, taxes, or surcharges unless required by law.
4.2. No refunds are provided for Services rendered, except in cases of sudden discontinuation of Services by us or at our sole discretion.
4.3. Failure to pay invoices on time may result in service suspension or termination.
5.1. Services are provided "as-is" with no warranties, express or implied. We disclaim liability for damages (direct, indirect, or consequential) arising from Service use.
5.2. You are solely responsible for data backups, system security, and compliance with laws.
6.1. You may terminate Services with [e.g., "30 days’ written notice"].
6.2. We may terminate Services immediately for AUP violations, non-payment, or operational necessity.
This Agreement shall be governed by the laws of the Hong Kong Special Administrative Region. Any disputes arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
8.1. This Agreement supersedes prior agreements.
8.2. If any provision is deemed unenforceable, the remainder of the Agreement remains valid.
